3COMMAS AFFILIATE CPA PROGRAM TERMS AND CONDITIONS
These Affiliate CPA Terms are effective as of September 18, 2024.
These 3Commas Affiliate Program Terms and Conditions ("Affiliate Terms") govern the actions of the Affiliate in promoting the 3Commas Software.
The 3Commas team is represented by 3Commas Technologies OÜ, a limited liability company incorporated under the laws of the Republic of Estonia with registration code 14125515 and registered address at Laeva tn 2, Kesklinna linnaosa, Tallinn, Harju maakond, 10111 (“3Commas”, “Company”, “we”, “us” or “our”).
1. DEFINITIONS
1.1. “Affiliate” or “you” refers to you, the legal entity applying to become a part of 3Commas Affiliate Program.
1.2. “Affiliate Program” refers to the system by which the Affiliate earns a commission for referring customers to 3Commas using Affiliate Link.
1.3. “Affiliate Link” is a hyperlink automatically generated by Service Partners to track the registration of a New User and the purchase of a subscription by a New User, personalized exclusively for the Affiliate to share with potential Clients.
1.4. “Service Partner(s)” refers to third party service providers for data processing, including data tracking, analytics and traffic management; generation of Affiliate Link; extraction of the raw data with the amounts of Target Actions and compensation volume tracking. Each of the WAP and MAAP shall have different Service Partners, Affise and AppsFlyer, respectively.
1.5. “Client” or “New User” means a natural person and or a legal entity who has a) successfully registered on the Software using the Affiliate Link; b) purchased and paid for the subscription for the Software in acceptable cryptocurrency or in fiat currency ; and c) is not the Affiliate itself.
1.6. "Confidential Information" refers to sensitive and/or non-public data or knowledge shared by 3Commas with its Affiliates. This information may include, but is not limited to, proprietary business strategies, financial data, marketing plans, product roadmaps, trade secrets, and any other privileged information not publicly disclosed.
1.7. “Software” all together or each separately refers to 3Commas online software as a service, website located at https://3commas.io, mobile application(s), and application program interface(s), owned and operated by the 3Commas.
1.8. “Intellectual Property” means a broad range of valuable assets that are protected by legal rights, encompassing elements, including but not limited to trademarks, logos, trade names, and copyrights, which are solely and exclusively property of 3Commas.
1.9. “3Commas Website Affiliate Program”, “WAP” are a set of specific terms that govern the actions of the Affiliate who wishes to join 3Commas Affiliate Program in order to promote the 3Commas Software (namely 3Commas website located at https://3commas.io) through data extracted from the Service Partner Affise (Annex 1 to these Affiliate Terms).
1.10. “3Commas Mobile Application Affiliate Program”, “MAAP” are a set of specific terms that govern the actions of the Affiliate who wishes to join 3Commas Affiliate Program in order to promote the 3Commas Software (namely 3Commas mobile application(s), and application program interface(s)) through data extracted from the Service Partner AppsFlyer (Annex 1 to these Affiliate Terms).
1.11. “Marketing Guidelines” means a set of standards and requirements for promoting the 3Commas’ products, services, brand, or Intellectual Property (Annex 2 to these Affiliate Terms).
1.12. “Target Action” is registration of a New User at 3Commas Software or the purchase of a new subscription by a New User at 3Commas Software.
2. ACCEPTANCE OF AFFILIATE TERMS
2.1. By sharing the Affiliate Link you accept the provisions of and acknowledge being bound by these Affiliate terms.
3. ADVERTISING SCHEDULE AND GEO TARGETING
3.1. You may advertise at any time from the date of signing the contract. Advertisements may be targeted worldwide, with the exception of any of the comprehensively sanctioned countries or geographical regions: Russia, Belarus, Burma (Myanmar), Cote d’Ivoire, Crimea (Region of Ukraine), Cuba, Democratic Republic of the Congo, Donetsk (Region of Ukraine), Iran, Iraq, Liberia (Former Regime of Charles Taylor), Libya, Luhansk (Region of Ukraine), Nicaragua, North Korea, Sierra Leone, Somalia, Sudan, Syria, Venezuela, Yemen, and Zimbabwe. We reserve the right to choose markets and jurisdictions to conduct business, and may restrict or refuse, in our sole discretion, the provision of 3Commas services in certain countries or regions.
4. OBLIGATIONS OF THE AFFILIATE
4.1. In order to participate in the Affiliate Program, the Affiliate shall proceed with the verification procedure (Affiliate’s KYC compliance).
4.2. Affiliate acknowledges that the participation in the Affiliate Program is conditioned to the applicable Target Actions process.
4.3. The Affiliate must comply with all applicable laws and regulations, including but not limited to any present or future applicable code of practice of any regulator, any rules, directions, laws, statutes, regulations, technical standards which are applicable to the Affiliate, their applicable marketing and consumer protection laws and regulations as well as the terms and conditions of the platform they are using to participate in the Affiliate Program.
4.4. The Affiliate shall have no authority and shall not:
4.4.1. enter into or conclude any agreements (including preliminary or verbal agreements) with any persons on behalf of 3Commas;
4.4.2.introduce yourself as an employee or partner of 3Commas;
4.4.3.enter into any collusion with other existing or potential Clients of the Software in order to gain any illegal or unethical benefit from the Affiliate Terms or benefits offered hereunder;
4.4.4.make any statement or give any warranty or guarantee in respect of the Software;
4.4.5.reduce, harm or diminish the reputation, image and prestige or brand of 3Commas and/or the Software.
4.5. If the Affiliate does not use the materials provided by 3Commas, the Affiliate must submit the materials for 3Commas for approval prior to its publication.
5. AML/KYC
5.1. The Affiliate shall complete and provide all necessary information and documentation as reasonably requested by 3Commas or its designated representatives for AML/KYC purposes. This may include, but is not limited to, providing identification documents, proof
of address, business registration documents, and any other information required to verify the Affiliate's identity and legal status.
5.2. The Affiliate represents and warrants that all information and documentation provided for AML/KYC purposes is true, accurate, and up to date. The Affiliate shall promptly notify 3Commas of any changes to the provided information.
5.3. 3Commas reserves the right to conduct AML/KYC checks and verification procedures on the Affiliate in accordance with applicable laws and regulations. The Affiliate agrees to cooperate fully with 3Commas and provide any additional information or documentation that may be necessary to complete the verification process.
6. THIRD-PARTY
6.1. Although 3Commas relies on the Service Provider platform for the monitoring and management of data, it is expressly agreed that each Party operates independently of each other. The Affiliate acknowledges and agrees that it will not initiate any legal actions, claims, or demands against 3Commas for any actions or omissions of the Service Provider. The Affiliate understands that 3Commas and the Service Provider are separate entities, and any issues, disputes, or liabilities arising from the services provided by the Service Provider shall be addressed directly with the Service Provider, without involving or attributing liability to 3Commas. Each Party shall be solely responsible for its own acts, omissions, obligations, and liabilities as outlined in this agreement, and no joint venture, partnership, or agency relationship is created or implied between the Parties.
7. COMPENSATION
7.1. The total cost of services under these Affiliate Terms is determined every month on the basis of the raw data exports from the Service Partner measurement platform regarding the number of New Users and the purchases of new subscriptions by New Users.
7.2. The data exported from the Service Partner is to be confirmed by the Affiliate, but in case of any discrepancies between the Affiliate’s data and the data from the Service Partner, the latter shall be applied in the determination of the Affiliate’s compensation.
7.3. Any all payments shall be calculated and executed in accordance with data collected from the Service Partner platform.
7.4. The Affiliate shall submit an invoice for the fee on the basis of the available Service Partner’s data regarding the reported results of Target Actions. In such a case, if the Affiliate fails to send the invoice to 3Commas within 10 business days from the start of each consecutive month, the Affiliate will waive its right to collect the fee.
7.5. 3Commas retains the right to verify the data exported by the Service Partner or Affiliate and assess the accuracy and validity of reported results related to Target Actions. In the event of any discrepancies between the data provided by the Service Partner or Affiliate and the data maintained by 3Commas, 3Commas' data will be used to determine the Affiliate's compensation. Furthermore, notwithstanding anything mentioned above, 3Commas retains the right to settle invoices partially, corresponding solely to the verified quantity of Target Actions as per 3Commas' internal records.
7.6. The Affiliate expressly waives any right to claim or seek interest, penalties, or any other form of additional compensation for delayed or late payment, unless otherwise provided for in applicable laws or regulations.
7.7. The Affiliate shall be responsible for the reporting, collection, remittance and payment of any or all taxes, charges, levies, assessments and other fees of any kind imposed by governmental or other authority in respect to the fees paid to the Affiliates as well as transferred to Affiliate’s external wallet.
8. RESTRICTIONS AND PROHIBITED ACTIONS. SANCTIONS COMPLIANCE
8.1. The Affiliate is prohibited to use the types of traffic including, but not limited to Brand Context ad, Incent traffic, Toolbar, Cashback-sites, Coupons traffic, Rebrokering, Doorway by brand, Co-registration, SMS spam, and E-mail spam.
8.2. By participating in the Affiliate Program, you represent and warrant that neither you, nor New Users:
8.2.1. have been included in any trade embargos or economic sanctions lists, including but not limited to:
- Restrictive measures of the European Union
- Sanctions of the United Nations
- Sanctions of the Government of Estonia
- the list of specially designated nationals maintained by Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury
- the denied persons or entity list of the U.S. Department of Commerce
- Lists of subjects to Financial Sanctions maintained by the UK Office of Financial Sanctions Implementation (OFSI),
8.2.2.use and access of 3Commas services in a way that violates or circumvents international sanctions and restrictive measures established by the European Union, United Nations, United States of America, United Kingdom or other international sanctions applicable in the Republic of Estonia, and
8.2.3.are from any of the following comprehensively sanctioned countries or geographical regions (this list is subject to change from time to time):
- Belarus
- Burma (Myanmar)
- Cote d’Ivoire
- Crimea (Region of Ukraine)
- Cuba
- Democratic Republic of the Congo
- Donetsk (Region of Ukraine)
- Iran
- Iraq
- Liberia (Former Regime of Charles Taylor)
- Libya
- Luhansk (Region of Ukraine)
- Nicaragua
- North Korea
- Russian Federation
- Sierra Leone
- Somalia
- Sudan
- Syria
- Venezuela
- Yemen
- Zimbabwe.
8.3. If you become subject to international sanctions, you are obliged to immediately notify us and delete any and all Affiliate Links.
8.4. You hereby acknowledge, without prejudice to any other grounds for such actions available to us, that we reserve the right to terminate, suspend, or restrict the provision of 3Commas' services to you, as well as terminate this Agreement, without consequences, including the suspension of payments until such time as you provide evidence to the contrary, in the following cases:
8.4.1. you become a subject of international sanctions,
8.4.2.providing services to you is considered a violation or circumvention of international sanctions,
8.4.3.you are according to our assessment related to a territory, area of activity, transaction or person subject to international sanctions, you are convicted of crimes.
Please note that these actions may be taken at our discretion based on the aforementioned circumstances.
9. MARKETING COMPLIANCE
9.1. The Affiliate acknowledges and agrees to comply with the marketing guidelines established by 3Commas, as outlined in Annex 2 to these Affiliate Terms.
9.2. The Affiliate shall ensure that all marketing activities, promotions, and materials related to 3Commas' products or services strictly adhere to the Marketing Guidelines. The Marketing Guidelines may include, but are not limited to, rules and restrictions on advertising platforms, content requirements, use of trademarks or logos, disclosure obligations, and any other relevant marketing practices.
9.3. The Affiliate understands that certain marketing activities or materials may require prior written approval from 3Commas before implementation. The Affiliate shall seek such approval in a timely manner, providing all necessary details and documentation as requested by 3Commas.
9.4. 3Commas reserves the right to monitor the Affiliate's marketing activities to ensure compliance with the Marketing Guidelines. The Affiliate shall promptly provide any requested reports, data, or evidence related to their marketing efforts upon 3Commas' reasonable request.
9.5. In the event of any breach or suspected breach of the Marketing Guidelines by the Affiliate, 3Commas may take appropriate actions, including, but not limited to, issuing warnings, imposing sanctions, suspending or terminating the Affiliate's participation in the program, or seeking legal remedies as permitted by law.
10. TERMINATION
10.1. We reserve the right to terminate your participation in the Affiliate Program for any or no reason, effective immediately upon sending you a notice via any means of communication.
11. LIABILITY
11.1. Under no circumstances will 3Commas be liable for any indirect, incidental, special or consequential damages, or loss of revenue or profits, arising in connection with the Affiliate Terms or the Affiliate Program.
12. GOVERNING LAW AND JURISDICTION
12.1. These Affiliate Terms shall be governed by and interpreted in accordance with the laws of the Republic of Estonia.
12.2.These Affiliate Terms and any contractual or non-contractual disputes arising out of or in connection with the Affiliate Terms will be governed by and in accordance with Estonian law and settled in Harju County Court (Estonia).
13. CONFIDENTIALITY
13.1. During the term of your participation in the Affiliate Program, you may receive confidential information related to our business. You agree to preserve this information and not disclose it to anyone without our prior written consent.
13.2. You shall use the Confidential Information solely as necessary to implement the limited purpose of the Affiliate Program and not for your own benefit or for the benefit of any other entity or person.
13.3. You shall take all reasonable safeguards to prevent the disclosure or misuse of the Confidential Information, including without limitation such measures as you take to safeguard your own confidential information.
13.4. You shall (i) notify 3Commas immediately of any unauthorized possession, use or knowledge of the Confidential Information, (ii) promptly provide 3Commas with full details of such possession, use or knowledge, and (iii) cooperate with 3Commas against third parties as may be deemed necessary to protect its proprietary rights in the Confidential Information.
13.5.All Confidential Information is and shall remain the property of 3Commas. By disclosing Confidential Information to you, 3Commas does not grant you any express or implied right to or under any patents, copyrights, trademarks, or trade secret information.
13.6.You acknowledge and agree that 3Commas could be irreparably harmed if any of the Confidential Information were to be disclosed to third parties, or if any use were to be made of the Confidential Information other than that specified in this Affiliate Terms, and further agree that 3Commas shall have the right to seek and obtain injunctive relief upon any violation or threatened violation of the terms of these Terms.
14. INTELLECTUAL PROPERTY CLAUSE
14.1. The Affiliate acknowledges that all Intellectual Property, including but not limited to trademarks, logos, trade names, and copyrights associated with the brand, are the exclusive property of 3Commas.
14.2.The Affiliate is granted a limited, worldwide, non-exclusive, revocable license to use the Intellectual Property solely for the purpose of marketing and promoting 3Commas products or services as part of the Affiliate Program.
14.3. The Affiliate agrees to use the Intellectual Property in a manner consistent with 3Commas' guidelines and instructions, as provided by 3Commas from time to time.
14.4.The Affiliate shall not modify, alter, or use the Intellectual Property in any way that could cause confusion, dilution, or misrepresentation of the brand.
14.5.The Affiliate shall not register or attempt to register any trademarks, trade names, or domain names that are identical, similar, or misleading to the Intellectual Property without prior written consent from 3Commas.
14.6.Upon termination of this Agreement, the Affiliate shall immediately cease all use of the Intellectual Property and remove any references to 3Commas from its marketing materials.
14.7. The Affiliate acknowledges that any use of the Intellectual Property does not grant the Affiliate any ownership rights, and all goodwill derived from the use of the Intellectual Property shall belong solely to the benefit of 3Commas.
14.8.The Affiliate shall promptly notify 3Commas of any suspected or actual infringement or unauthorized use of the Intellectual Property.
14.9. 3Commas reserves the right to monitor and enforce the Affiliate's use of the Intellectual Property to ensure compliance with this Agreement and applicable laws.
14.10. The Affiliate agrees to indemnify and hold 3Commas harmless from any claims, damages, or liabilities arising from the Affiliate's unauthorized or unlawful use of the Intellectual Property.
14.11.By agreeing to this clause, the Affiliate acknowledges and agrees to abide by the terms and conditions outlined above regarding the use of 3Commas's brand and Intellectual Property for marketing purposes.
15. INDEMNIFICATION
15.1. You agree to indemnify and hold harmless 3Commas, its subsidiaries, affiliates, directors, officers, agents, employees, and suppliers from any claim, action, demand, loss, or damages (including attorneys' fees) made or incurred by any third party arising out of or relating to your use of the Software, your violation of these Affiliate Terms, or your violation of any rights of a third party.
15.2.The Affiliate agrees to indemnify and hold 3Commas harmless from any regulatory or governmental fines, penalties, or sanctions imposed on 3Commas due to the actions, omissions, or non-compliance of the Affiliate. This indemnity extends to fines, penalties, or sanctions resulting from violations of applicable laws, regulations, or guidelines by the Affiliate while performing activities within the scope of the Affiliate Program.
15.3.The Affiliate shall promptly notify 3Commas in writing of any regulatory investigation, notice, or inquiry received by the Affiliate that could potentially lead to fines, penalties, or sanctions imposed on 3Commas, subject to what is permissible under applicable law.
15.4.The Affiliate shall cooperate fully with 3Commas in any regulatory or governmental investigation, inquiry, or legal proceeding related to the actions of the Affiliate.
15.5.This indemnity shall not apply to fines, penalties, or sanctions arising directly from the willful misconduct or gross negligence by 3Commas.
15.6.In the event of fines, penalties, or sanctions imposed on 3Commas, 3Commas reserves the right to take actions it deems necessary to mitigate the impact of such penalties, including but not limited to recovering such fines or penalties from the Affiliate.
16. MODIFICATION
16.1. We may modify any of the terms and conditions within these Affiliate Terms at any time and at our sole discretion. These modifications may include, but are not limited to changes in the scope of available affiliate fees, fee schedules, payment procedures, marketing guidelines, and this Affiliate Program.
16.2. 3Commas shall make reasonable efforts to notify the Affiliate of any material changes to the Affiliate Terms in reasonable time.
16.3.The Affiliate agrees to regularly check for updates or revisions to these Affiliate Terms, which may be communicated through official notifications, emails, or updates on the 3Commas platform. The Affiliate understands that their continued participation and engagement in the Affiliate Program or business relationship with 3Commas implies acceptance of any revised Affiliate Terms.
16.4.Failure to review or acknowledge updated Affiliate Terms shall not absolve the Affiliate from their obligations and responsibilities under these Affiliate Terms. The Affiliate acknowledges that they are bound by the most recent version of the Affiliate Terms, regardless of whether they have reviewed or received explicit notification of changes.
16.5.It is strongly recommended that the Affiliate keeps a record of the dates and versions of the Affiliate Terms they have reviewed to ensure compliance with the most recent terms. Any questions or concerns regarding the updated terms should be promptly addressed with 3Commas for clarification.
17. SEVERABILITY
17.1. If any provision of these Affiliate Terms or any specification is held to be invalid or unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable. If any such provision is inoperative and the remaining Affiliate Terms will not be affected thereby.
18. NO WAIVER
18.1. Our failure to enforce your strict performance of any provision of these Affiliate Terms will not constitute a waiver of our right to subsequently enforce such a provision or any other provision of these Affiliate Terms.
19. FORCE MAJEURE
19.1. Neither party will be liable for, or will be considered to be in breach of or default under these Affiliate Terms on account of, any delay or failure to perform as required by these
Affiliate Terms as a result of any causes or conditions that are beyond such party's reasonable control.
20. ENTIRE AGREEMENT
20.1. These Affiliate Terms constitute the entire agreement between you and us with respect to the subject matter of these Affiliate Terms and supersedes all prior written and oral agreements between the parties with respect to the subject matter of these Affiliate Terms.
20.2. Please note, these Affiliate Terms are subject to change and it is your responsibility to keep yourself updated with the latest version. Your continued participation in the Affiliate Program and services will signify your acceptance of any adjustment to these terms.
20.3. Affiliates who accepted the provisions of the Affiliate Terms prior to September 18, 2024 will continue to be governed by the terms and conditions that were in effect before September 18, 2024.
Annex 1.
Specific Provisions for 3Commas Website Affiliate Program (“WAP”) and 3Commas Mobile Application Affiliate Program (“MAAP”)
1. 3Commas Website Affiliate Program (“WAP”)
1.1. The WAP is for Affiliates intent on marketing 3Commas Software (namely website located at https://3commas.io) with Affiliate Links.
1.2. For the purpose of the WAP, each Affiliate shall register and monitor its activities through the third-party platform Affise (Affise Technologies Ltd, https://affise.com/), services of which are used both by the 3Commas and the Affiliate for the tracking of integration, generation of Affiliate Link, extraction of the raw data with the amounts of Target Actions and identifying the amount of compensation payable to the Affiliate. For more information on Affise please see Affise's Terms and Conditions (https://affise.com/terms-and-conditions-of-use/) and Privacy Policy (https://affise.com/privacy-policy/).
1.3. By participating in the WAP and utilizing the services provided by Affise, the Affiliate confirms that they have read, understood, and accepted both the 3Commas Affiliates Program Terms and Conditions and Affise's Terms and Conditions in their entirety.
2. 3Commas Mobile Application Affiliate Program (“MAAP”)
2.1. The MAAP is for Affiliates intent on marketing 3Commas Software (namely through mobile application(s), and application program interface(s)) with Affiliate Links.
2.2. For the purpose of the MAAP, each Affiliate shall register and monitor its activities through the third-party platform AppsFlyer (AppsFlyer Ltd. https://www.appsflyer.com/), services of which are used both by the 3Commas and the Affiliate for the tracking of integration, generation of Affiliate Link, extraction of the raw data with the amounts of Target Actions and identifying the amount of compensation payable to the Affiliate. 2.3. By participating in the MAAP and utilizing the services provided by the AppsFlyer, the Affiliate confirms that they have read, understood, and accepted the 3Commas Affiliates Program Terms and Conditions and the AppsFlyer’s Terms and Conditions in their entirety.
3. SPECIFIC COMPENSATION FOR TARGETED ACTIONS
3.1. The general terms and conditions for Compensation are laid out in Section 7 of the Affiliate Terms.
3.2. The cost of services under these Affiliate Terms is $3 (three USD) for each registration of a New User at 3Commas Software.
3.3. The cost of service under these Affiliate Terms is $197 (one hundred and ninety seven USD) for each purchase of a new subscription by a New User.
4. SERVICE PARTNER T&Cs
4.1. The Affiliate acknowledges that compliance with the specific Service Partner Terms and Conditions is a prerequisite for their continued participation in the WAP or MAAP.
4.2. The Affiliate shall adhere to all obligations, restrictions, and requirements specified in the Service Partner Terms and Conditions. This may include, but is not limited to, guidelines on account registration, activity tracking, reporting procedures, data protection, and any other relevant provisions outlined by the specific Service Partner .
4.3. The Affiliate acknowledges that the specific Service Partner may modify or update the Service Partner terms and conditions from time to time. It is the Affiliate's responsibility to
stay informed about any changes made by regularly reviewing the most recent version of the Service Partner Terms and Conditions.
Annex 2. Marketing Guidelines
1. Limitations
The limitations in advertising and marketing are mainly in place to protect consumers from false or misleading claims and to mitigate the risks associated with cryptocurrency related services.
A few examples of limitations are:
Regulation: In many countries, cryptocurrency and crypto related services are subject to regulatory oversight to ensure that they are truthful and accurate.
Misleading claims: advertisements are subject to scrutiny because they may make false or misleading claims about the potential returns or risks associated with the product or service.
Social media restrictions: Many social media platforms have policies that prohibit or restrict cryptocurrency related advertisements.
2. What NOT to do
2.1 False claims
False claims refer to statements made in an advertisement that are not factual or can't be proven. False claims can take many forms, such as exaggerating the benefits of a product, making claims that can't be substantiated, or making comparisons to competing products that are not accurate.
A few examples of false claims:
Guaranteed profits: claims that using the bot will guarantee a certain level of profits. This is often not true, as the value of cryptocurrencies can be highly volatile and subject to significant losses.
Risk-free: claims that using the bot is risk-free or that the bot is able to mitigate all risk.
Expertise: claims that the bot is able to make trades based on expert knowledge or insider information.
Past performance: claims that the bot has a track record of consistently making profitable trades as past performance is not necessarily indicative of future results.
2.2 Misleading claims
Misleading claims refer to statements that are likely to mislead or deceive the consumer about the nature, characteristics, suitability, quantity, composition, intended use, or other aspects of the product or service being advertised.
A few examples of misleading claims:
Exaggerated claims: exaggerating the potential profits that can be made from using the bot.
Downplaying risks: downplaying the risks associated with cryptocurrency trading, or claiming that the bot is able to mitigate all risks.
